Uralkali AGM Decisions

On 15 June 2015, Uralkali (LSE: URKA; the Company), one of the world’s largest potash producers, held its Annual General Meeting (AGM) of shareholders in the town of Berezniki (Perm Region, Russia).

Uralkali’s AGM elected the new Board of Directors, including Sergey Chemezov, Jian Chen, Dmitry Konyaev, Sir Robert Margetts, Dmitry Mazepin, Dmitry Osipov, Paul Ostling, Dmitry Razumov, and Michael Sosnovsky.

Uralkali’s shareholders decided not to pay dividends for 2014.

The AGM approved the Company’s 2014 Annual Report and financial statements. In addition, the AGM approved Deloitte & Touche CIS as auditor of the Company’s 2015 consolidated financial statements prepared in accordance with IFRS and Energy Consulting as auditor of the Company’s financial statements prepared in accordance with Russian Accounting Standards.

The AGM also elected the Internal Audit Commission, approved the new version of Regulations on the Internal Audit Commission, as well as approved a number of related-party transactions.
